Terms of Service

Definitions

• "Service" refers to the PersonaHub Financial platform, including its dashboard, AI insights, reporting tools, and infrastructure.
• "Client" refers to any legal entity or business organization registered to use the Service.
• "Client Data" means all financial reports, operational metrics, and proprietary information uploaded by the Client.
• "Confidential Information" refers to all proprietary data belonging to either party that is not publicly known.
• "Subscription" refers to the paid access plan selected by the Client to utilize the Service.

Acceptance of Terms

By accessing, registering for, or using the Service, the Client is deemed to have read, understood, and agreed to all terms outlined in this document.

These Terms constitute a legally binding agreement between PersonaHub and the Client. Use of the Service is also governed by our Privacy Policy, available on the PersonaHub website, which is incorporated herein by reference.

Entire Agreement: These Terms constitute the entire agreement between PersonaHub and the Client, superseding any prior communications, emails, proposals, or understandings.

Intellectual Property & License

PersonaHub grants the Client a limited, non-exclusive, non-transferable, and revocable license to use the Service solely for the internal operational needs of the company.

All intellectual property rights, including but not limited to software, source code, algorithms, underlying models, UI design, workflows, databases, trademarks, and documentation remain the exclusive property of PersonaHub.

Data Ownership & Security

The Client retains full ownership of all Client Data submitted to the Service. PersonaHub owns all software, infrastructure, and intellectual property.

PersonaHub implements commercially reasonable technical and administrative security measures. However, no electronic system, server, or database can be guaranteed to be completely secure against cyber attacks or vulnerabilities.

Confidential Information shall not be sold or disclosed to unauthorized third parties, unless required by applicable law or a valid court order. These confidentiality obligations shall survive termination of this agreement.

PersonaHub may record activity logs for security, compliance, troubleshooting, and audit purposes. Activity logs may be used as evidence for security investigations or dispute resolution.

User Responsibilities & Data Accuracy

The Client is solely responsible for maintaining the confidentiality of their passwords, employee accounts, MFA settings, and preventing unauthorized account misuse.

AI & Financial Disclaimer

AI-generated analyses, forecasts, recommendations, or insights are generated algorithmically and should be considered informational assistance only. AI outputs may contain inaccuracies, omissions, or outdated information.

They do not constitute accounting, auditing, taxation, investment, or legal advice. PersonaHub is not a substitute for a Certified Public Accountant (CPA), Tax Consultant, Auditor, or Legal Advisor. The Client assumes all risks associated with business decisions made based on AI insights.

Availability & Third-Party Integrations

Force Majeure: PersonaHub shall not be liable for delays or failures caused by Force Majeure events (e.g., natural disasters, war, pandemics, internet service failures, or cloud provider outages), unless otherwise agreed in a separate Service Level Agreement (SLA).

Third-Party Services: The Service integrates with third-party infrastructure (e.g., OpenAI, Supabase, Vercel). PersonaHub shall not be held liable for any downtime or data delays caused directly by outages from these external providers.

Backup Disclaimer: PersonaHub may perform periodic backups. However, the Client remains responsible for maintaining local copies of any critical business records.

Subscription, Billing, and Payment Terms

Access to features is granted based on an active subscription status. Subscription fees are payable in advance, unless otherwise agreed in writing, and are non-refundable unless otherwise required by applicable law. All applicable taxes are the responsibility of the Client.

If payment is not renewed, PersonaHub reserves the right to restrict service access or downgrade the account to read-only mode.

Data Retention & Export: Prior to deletion, the Client may request an export of its available data in a standard electronic format. PersonaHub may charge a reasonable fee for custom export requests. PersonaHub may retain Client Data for up to ninety (90) calendar days after service termination. After such period, PersonaHub may permanently delete the Client Data without further notice.

Suspension Without Notice: PersonaHub may suspend access immediately without prior notice if the Client violates applicable laws, attempts hacking/DDoS, overloads servers, or breaches these ToS.

No Warranty & Limitation of Liability

PersonaHub expressly disclaims all warranties, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. The Service is provided "as is".

Indemnification

The Client agrees to indemnify, defend, and hold harmless PersonaHub from any third-party claims, lawsuits, damages, or penalties arising from the Client's misuse of the platform, data breaches caused by the Client's negligence, or reliance on the Service for formal tax, audit, or legal reporting.

General Provisions

• Official Notices: Official notices shall be deemed delivered when sent to the registered email address of either party.
• Severability: If any provision of these Terms is held unenforceable, the remaining provisions shall remain in full force and effect.
• Waiver: Failure by PersonaHub to enforce any provision shall not constitute a waiver of future enforcement of that or any other provision.
• Assignment: The Client may not assign these Terms or transfer their account without written consent. PersonaHub may assign these Terms in connection with a merger, acquisition, or sale of substantially all of its assets.
• Survival: Provisions regarding Confidentiality, Intellectual Property, Limitation of Liability, and Indemnification shall survive the termination of this agreement.
